Motors Liquidation Company (MTLQQ) is engaged primarily in the development, production and marketing of cars, trucks and parts. The Company develops, manufactures and markets vehicles worldwide through its four automotive segments: GM North America, GM Europe, GM Latin America/Africa/Mid-East and GM Asia Pacific. In addition to its automotive operations, the Company’s finance and insurance operations are primarily conducted through GMAC LLC. GMAC provides a range of financial services, including consumer vehicle financing, automotive dealership and other commercial financing. MTLQQ and its subsidiaries completed the sale of substantially all of their assets to General Motors Company on July 10, 2009.
The Company, formerly known as General Motors Corporation, changed its name to Motors Liquidation Company in July 2009 in connection with the sale of substantially all of its assets pursuant to Section 363(b) of the Bankruptcy Code and the Bankruptcy Court’s sale order dated July 5, 2009. The company was founded in 1908 and is headquartered in Detroit, Michigan. On June 1, 2009, General Motors Corporation, along with its affiliate, filed a voluntary petition for reorganization under Chapter 11 in the US Bankruptcy Court for the Southern District of New York.

On June 1, 2009, Motors Liquidation Company (formerly General Motors Corporation) (MTLQQ) and certain subsidiaries filed voluntary petitions for relief under chapter 11 of the Bankruptcy Code in the United States Bankruptcy Code for the Southern District of New York. An order was entered approving the sale of substantially all of MTLQQ’s assets to a new and independent company under section 363 of the Bankruptcy Code on June 5, 2009. The sale closed on July 10, 2009. Environmental Corporate Remediation Company Inc. and Remediation And Liability Management Company Inc., two direct subsidiaries of MTLQQ, filed voluntary petitions for relief under chapter 11 of the Bankruptcy Code on October 9, 2009. Their chapter 11 cases are being jointly administered with MTLQQ’s chapter 11 proceedings for procedural purposes only under case number 09-50026 (REG).

All of these securities relate to Motors Liquidation Company and will be treated in accordance with the provisions of the U.S. Bankruptcy Code and the rulings of the Bankruptcy Court. Management continues to remind investors of its strong belief that there will be no value for the common stockholders in the bankruptcy liquidation process, even under the most optimistic of scenarios. Stockholders of a company in chapter 11 generally receive value only if all claims of the company’s secured and unsecured creditors are fully satisfied. In this case, management strongly believes all such claims will not be fully satisfied, leading to its conclusion that the common stock will have no value.

MTLQQ understands and appreciates the concerns of local communities. The Company’s stated objective is to work with local communities, developers and other stakeholders to resolve environmental-remediation obligations at the properties now under our control in a manner that protects public health and the environment while being consistent with the interests of creditors in the bankruptcy proceedings.
MTLQQ said it believes that the amounts allocated should be adequate to fund remediation at these sites, based in part upon estimates from nationally recognized environmental-management firms we have engaged to assist us in estimating what is required.
